- “Investor” means a User who invests or intends to invest through the Platform.
- “Offering” means any project, fundraising campaign, equity sale, or similar opportunity made available through the Platform.
- “Digital Assets” / “Crypto” means blockchain-based tokens or cryptocurrencies supported by the Platform.
- “Wallet Address” means a blockchain address capable of receiving a supported Digital Asset on a supported network.
2) Eligibility
You may use the Platform only if:
- You are at least 18 years old (or the age of majority in your jurisdiction).
- You have the legal capacity to enter into binding contracts.
- Your use of the Platform is not prohibited by applicable laws.
- You can complete any required identity, compliance, or eligibility checks (including KYC/AML, sanctions screening, and investor qualification where applicable).
We may refuse service, suspend, or terminate accounts at any time where permitted by law.
3) Platform Role (No Investment Advice)
Trust Capital provides a technology platform that may enable Founders and Investors to connect and transact.
- We do not provide investment, legal, tax, or accounting advice.
- We do not guarantee any Offering’s performance or legitimacy.
- Information on the Platform may come from Founders or third parties and may be incomplete or inaccurate.
You are responsible for conducting your own due diligence and consulting professional advisors.
4) Account Registration & Security
To access certain features, you must create an account and provide accurate information.
You agree to:
- Provide true, current, and complete information
- Maintain and promptly update your information
- Keep credentials secure and confidential
- Notify us immediately of unauthorized access or security breaches
You are responsible for all activity conducted through your account.
5) Compliance, Verification, and Monitoring
You agree that Trust Capital may:
- Perform identity verification and compliance checks
- Request additional documentation
- Monitor transactions for compliance, fraud prevention, or risk management
- Restrict or block transactions where required by law or risk policies
Failure to provide requested information may result in restrictions, suspension, or termination.
6) Offerings, Listings, and Founder Responsibilities
Founders are solely responsible for their Offerings and all related content, including:
- Accuracy and completeness of Offering information
- Disclosures, risk statements, and use-of-funds representations
- Compliance with all laws and regulations
- Communications with Investors (including updates)
Trust Capital may remove or restrict Offerings at our discretion.
7) Investor Responsibilities & Risk Acknowledgment
Investing involves substantial risk, including total loss of capital and illiquidity. By using the Platform as an Investor, you acknowledge:
- Offerings may be high-risk and speculative
- You may not be able to resell or transfer equity
- Valuations may be uncertain
- Regulatory, market, and operational risks apply
- Digital Assets carry additional risks (volatility, chain congestion, smart contract risk, irreversible transfers)
You are responsible for understanding the Offering terms and applicable restrictions before investing.
8) Fees
Trust Capital may charge fees for Platform use (e.g., listing fees, transaction fees, processing fees, withdrawal fees). Applicable fees will be shown at the point of transaction or in posted fee schedules.
Fees are generally non-refundable unless required by law or explicitly stated otherwise.
9) Crypto Disbursements & Withdrawals (Wallet Address Required)
All disbursements and withdrawals on Trust Capital are made via Crypto only. No fiat withdrawals are supported unless the Platform explicitly states otherwise.
By requesting a withdrawal or providing a payout destination, you agree that:
- Valid Wallet Address Required: You must provide a valid Wallet Address capable of receiving the selected Digital Asset on the selected network.
- Network Matching: You are solely responsible for selecting the correct blockchain network and providing the correct Wallet Address (and memo/tag if required).
- Irreversibility: Blockchain transactions are typically irreversible. If you provide an incorrect address, incorrect network, or omit required memo/tag data, funds may be lost and may not be recoverable.
- Fees & Minimums: Withdrawals may be subject to network fees, Platform fees, minimum withdrawal amounts, and processing delays.
- Compliance Holds: We may delay, suspend, or cancel withdrawals to comply with law, respond to suspected fraud, complete reviews, or investigate suspicious activity.
- Third-Party Wallets/Exchanges: If you use a third-party wallet or exchange, their terms and delays apply. We are not responsible for their services, outages, or compliance actions.
10) Prohibited Activities
You agree not to:
- Use the Platform for illegal activity, fraud, or money laundering
- Provide false or misleading information
- Manipulate Offerings, metrics, or investor communications
- Infringe intellectual property rights
- Attempt to bypass security, access controls, or compliance checks
- Introduce malware or attempt to disrupt the Platform
- Use the Platform where prohibited by law (including sanctioned jurisdictions)
We may investigate and take action including suspension, termination, reporting to authorities, and blocking withdrawals where legally permitted.
11) Intellectual Property
The Platform, including its software, design, text, graphics, logos, and content (excluding User content), is owned by or licensed to Trust Capital and is protected by intellectual property laws.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works unless permitted by law or by our written authorization.
12) User Content & License
You retain ownership of content you submit (“User Content”). By submitting User Content, you grant Trust Capital a worldwide, non-exclusive, royalty-free license to host, use, reproduce, modify (for formatting), display, and distribute your User Content to operate and improve the Platform.
You represent you have all necessary rights to submit the User Content and that it does not violate laws or third-party rights.
13) Third-Party Services & Links
The Platform may contain links to third-party websites or services (including wallets, custody providers, analytics tools, or payment/crypto infrastructure). We do not control and are not responsible for third-party services.
Your use of third-party services is at your own risk and subject to their terms.
14) Suspension & Termination
We may suspend or terminate your access to the Platform (in whole or in part) at any time, with or without notice, where permitted by law, including if:
- You violate these Terms
- We suspect fraud or prohibited activity
- We must do so to comply with law, regulation, or an authority request
- Your account presents risk to the Platform or other Users
Termination may not eliminate obligations incurred prior to termination.
15) Disclaimers
To the maximum extent permitted by law:
- The Platform is provided “as is” and “as available.”
- We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components.
16) Limitation of Liability
To the maximum extent permitted by law, Trust Capital will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, data, or business opportunities, arising out of or related to your use of the Platform or any Offering.
To the extent liability cannot be excluded, our total liability will be limited to the greater of:
- The total fees you paid to Trust Capital in the three (3) months prior to the event giving rise to the claim, or
- USD $100

17) Indemnification

- Your violation of any law or third-party rights
- Your User Content or Offering materials (if you are a Founder)
18) Dispute Resolution; Governing Law
